Please read these terms before you subscribe. By using Skeepy, you agree to them.

Acceptance of Terms

These Terms and Conditions ("Terms") are a binding agreement between you ("Subscriber", "you", "your") and Skeepy Pet Solutions Limited ("Skeepy", "we", "us", "our"), a company incorporated in the Federal Republic of Nigeria. They govern your use of the Skeepy Pet HMO platform, including www.skeepy.co, our apps and every related service (the "Platform").

By creating an account, subscribing to a plan, registering a pet on the National Pet Database, or otherwise using the Platform, you confirm that you have read and agree to these Terms. If you do not agree, please do not use the Platform.

These Terms are read together with our Privacy Policy and with the benefit schedule for your plan shown on the Platform. Where they conflict, these Terms prevail unless the benefit schedule expressly says otherwise.

You confirm that you are at least eighteen (18) years old and able to enter a binding agreement under Nigerian law.

Definitions

In these Terms:

Skeepy Pet HMOThe pet health maintenance organisation operated by Skeepy, which pays for veterinary care for enrolled pets in Nigeria under the terms of each plan.
PlanOne of Skeepy's plans: the Cublings Plan, Furrtastic Plan, Purrfect Plan or Infinity Plan, each with its own benefits, limits and waiting periods. The Pawtastic Plan closed to new subscriptions on 18 September 2026; pets enrolled on it before then stay covered under its terms until their current term ends.
Benefit scheduleThe list, shown on the Platform and in your dashboard, of what your plan covers: each benefit, how often or how much it is covered for in a coverage year, and its waiting period.
PetA domestic dog or cat enrolled on an active plan.
HMO IDThe unique code issued to each enrolled pet (for example, SKEEPYHMO-XXXXXX).
ClinicAny veterinary clinic or hospital in Nigeria that treats animals at its own physical premises. A mobile vet, with no clinic premises of their own, is not a Clinic unless it is a Partner Clinic, and a clinic that does not issue receipts is not a Clinic.
Partner ClinicA Clinic that has a written partnership agreement with Skeepy and is listed on the Platform as a Recommended Clinic.
Skeepy PayThe facility in your dashboard through which you pay a Clinic for covered care from your plan.
Waiting periodThe number of days from the start of cover before a benefit can be used.
Yearly care limitThe most Skeepy will pay for one pet in a coverage year, across every benefit.
Surgery limitThe most Skeepy will pay for one pet's surgery in a coverage year, shared by every surgical benefit.
Illness limitThe most Skeepy will pay in a coverage year for non-surgical illness treatment and the other benefits the benefit schedule says are paid from it.
Clan PlanA household arrangement under which two (2) or more pets are enrolled under one Subscriber at a discount.
NPDThe National Pet Database, a free registry of pets in Nigeria maintained by Skeepy, open to all pet owners whether or not they hold a plan.
3

Eligibility

Plans are available for domestic dogs and cats living in Nigeria. Other animals can be registered on the NPD but cannot be enrolled on a plan.

3.1 The pet's health

At enrolment the pet should be in reasonably good health. Skeepy may ask for a veterinary health check or medical history before cover starts, and may decline an enrolment where the pet does not meet these requirements.

3.2 Age

Pets must be at least eight (8) weeks old. The Cublings Plan is for pets under twelve (12) months old at enrolment; pets under twelve months may also join the Infinity Plan. There is no upper age limit, though older pets may be reviewed. You must state the pet's date of birth, or your best estimate of it, accurately.

3.3 Subscribers

You must be at least eighteen (18) years old, live in Nigeria, and be the owner or authorised carer of every pet you enrol. Companies and institutions may apply by contacting Skeepy.

3.4 Accurate information

You must give accurate, complete information about yourself and your pets. False, misleading or materially incomplete information is a breach of these Terms and may lead to cover ending without refund.

3.5 Identifying your pet

Skeepy may ask for photographs of your pet, from the front, sides and face, to confirm its identity before cover starts or before paying a Clinic. Cover is for the enrolled pet only.

4

Plans and Subscriptions

4.1 The plans

The current fees and limits are:

PlanMonthly feeYearly care limitSurgery limit
Cublings Plan₦15,000₦1,000,000₦380,000
Furrtastic Plan₦16,000₦1,200,000₦400,000
Purrfect Plan₦32,000₦2,100,000₦750,000
Infinity Plan₦64,000₦4,200,000₦1,500,000

What each plan covers, how often and for how much, and each benefit's waiting period, are set out in its benefit schedule.

4.2 Billing periods

You may pay monthly, quarterly (five percent (5%) less than three monthly payments) or yearly (seven percent (7%) less than twelve monthly payments).

4.3 Renewal

A plan runs for the period you have paid for. Skeepy reminds you before it ends, and the plan continues when you pay for the next period. If you do not pay by the end of the period, the plan becomes inactive (see Section 9.3).

4.4 Payment

Payments are processed by Paystack, a payment processor licensed by the Central Bank of Nigeria. Skeepy does not see or store your card details.

4.5 Coverage year

A pet's coverage year starts on the date cover begins and runs for twelve (12) months. Counts and limits are measured within the coverage year and start again at the next one, while the plan stays active.

4.6 Cublings graduation

After twelve (12) months of membership, a pet on the Cublings Plan moves to the adult plan you have chosen, or to the Furrtastic Plan if you have not chosen one. Skeepy reminds you in the eleventh month.

4.7 Plans that began earlier

The current benefit schedule applies to every plan, including a plan whose current term began before the schedule took effect. Time your pet has already been on its plan counts towards the waiting periods in the current schedule.

5

Waiting Periods and Limits

5.1 How waiting periods work

Each benefit has its own waiting period, counted in days from the date cover begins. No benefit can be used before at least fourteen (14) days have passed. Many benefits wait longer; each benefit's waiting period is shown in the benefit schedule and in your dashboard. Please read them before you subscribe.

Vet chat and care reminders have no waiting period. They are available as soon as you subscribe.

5.2 After a lapse

Important: if a plan lapses and is later restarted, no benefit can be used for at least thirty (30) days from the restart, and every benefit's own waiting period starts again in full. This applies whatever the length of the earlier subscription or the reason for the lapse.

5.3 No waivers

Waiting periods apply on every plan and every billing period, including the Infinity Plan and yearly payment. They cannot be waived or bought out.

5.4 Limits

Skeepy pays up to the yearly care limit for your plan. Within it:

  • every surgical benefit is paid from the plan's surgery limit;
  • non-surgical illness treatment is paid from the plan's illness limit;
  • on the Cublings and Furrtastic Plans, tests and take-home medicines are paid from the illness limit;
  • on the Purrfect and Infinity Plans, each test and medicine has its own yearly count or amount, and once that is used, the rest is paid from the illness limit;
  • other benefits have the yearly counts, amounts and per-visit limits in the benefit schedule.

When a limit has been used, you are responsible for further costs until the next coverage year.

6

Pre-Existing Conditions

6.1 Exclusion

Skeepy does not cover long-term (chronic) pre-existing conditions. A long-term pre-existing condition is a lasting illness, disease or abnormality that existed, showed signs, was diagnosed or was treated before the pet's enrolment date or during a waiting period that applied to it, such as diabetes, kidney disease, heart disease, hip dysplasia, epilepsy and long-term skin allergies.

6.2 Conditions the pet has recovered from

An illness or injury the pet had before enrolment and has fully recovered from is not excluded. If it happens again, it is covered in the usual way, under the plan's benefits, limits and waiting periods. Skeepy may ask any veterinary provider for the pet's records to check its history.

6.3 Both sides of the body

Where a long-term pre-existing condition affects one side of the body (a limb, eye, ear or organ), the same condition on the other side is also treated as pre-existing. For example, if one knee had a cruciate ligament injury before enrolment, a cruciate injury in the other knee is excluded too.

6.4 Who decides

Skeepy decides, with qualified veterinary advice, whether a condition is pre-existing. You may challenge a decision through Section 20.

7

Using Your Cover

7.1 Any clinic

You may pay any Clinic in Nigeria for covered care with Skeepy Pay, whether or not it is a Partner Clinic. Skeepy Pay pays only Clinics with a physical location. It cannot be used to pay a mobile vet, that is, a vet with no clinic premises of their own, unless that vet is a Partner Clinic. It can be used only at a Clinic that gives a written receipt for every payment; if your clinic does not issue receipts, you cannot pay it with Skeepy Pay.

7.2 Paying a clinic

After treatment, you open Skeepy Pay in your dashboard, choose the Clinic or enter its registered name, location and business bank account, and enter the bill. Skeepy Pay shows what your plan covers and pays the covered amount from your plan directly to the Clinic. You pay the Clinic anything your plan does not cover. You must only use Skeepy Pay for care your pet actually received.

7.3 Clinic accounts

Skeepy Pay pays only into a business bank account held in the Clinic's registered name. It does not pay personal accounts or accounts in another name.

7.4 Reviews before payment

Surgery and other high-cost treatment are approved by a vet before they are paid, usually within fifteen (15) to thirty (30) minutes. Skeepy may ask for the invoice, the pet's records, photographs or a word with the treating vet, before or after any payment.

7.5 Usual prices

Skeepy Pay covers fees in line with what clinics in Nigeria charge for the same service. It may decline a bill that is well above that, in which case it tells you so, and you may ask the Clinic to adjust it.

7.6 Partner Clinics

Partner Clinics are paid with Skeepy Pay in the same way as any other Clinic.

7.7 What is not covered

Skeepy does not pay for care that is not in your plan's benefit schedule, care given before the relevant waiting period has ended, care for long-term pre-existing conditions, or care beyond your plan's limits. Elective, cosmetic, breeding-related and experimental treatments are excluded unless the benefit schedule lists them.

Parvovirus (canine parvovirus in dogs and feline panleukopenia in cats) is covered only for a pet vaccinated against it: a DHLPP vaccine for a dog or an FVRCP vaccine for a cat, given within the thirteen (13) months before the visit and on the pet's record in your dashboard before the visit. Treatment for parvovirus in a pet without that vaccination is not covered on any plan. A vaccinated pet that catches it is covered in the usual way.

Tick fever (including babesiosis, ehrlichiosis and anaplasmosis) is covered only for a pet whose flea and tick treatment was given within the three (3) months before the visit and was on the pet's record in your dashboard before the visit. Tick fever in a pet without that treatment is not covered on any plan.

Before you can pay a Clinic with Skeepy Pay, your pet's vaccination record must be complete: each core vaccine with the date and the place it was given, or a statement that the pet never had it.

7.8 Fraud

False, altered or inflated bills, bills for care not given, payments asked for a different animal, and any arrangement with a Clinic or anyone else to do these things are fraud. Skeepy will refuse the payment, may end every plan on the account without refund, will seek to recover any amount paid as a result, and may report the matter to the Nigeria Police Force, the Economic and Financial Crimes Commission and, for a Clinic, the Veterinary Council of Nigeria. The Fair use and fraud policy explains this in full.

7.9 Disagreements about a payment

If you disagree with a payment decision, email info@skeepy.co. Skeepy's team will review it and reply within fifteen (15) business days.

7.10 Primary clinic

Each pet has a primary clinic: the Clinic it usually attends. You may name it in your dashboard; otherwise the first Clinic you pay for the pet with Skeepy Pay becomes its primary clinic. You may use any other Clinic. When you do, you will be asked why.

7.11 Your declaration

Each time you pay a Clinic with Skeepy Pay, you confirm that the bill is genuine, for the enrolled pet, for care given on that day, at the price the Clinic charges its other customers. Skeepy keeps a record of each payment.

7.12 Reviews

After you pay a Clinic for your pet's care with Skeepy Pay, you may review that visit. Reviews must be honest and your own. Skeepy may remove a review that is abusive, contains personal details, is written by or for a Clinic, or is false, as the Reviews policy sets out.

8

Vet Chat and Care Reminders

8.1 Vet chat

Every plan includes chat with a licensed vet, free, as often as you need, from the day you subscribe. Vet chat gives general advice based on what you describe; it is not an examination and does not replace one. In an emergency, take your pet to a Clinic straight away.

8.2 Care reminders

Skeepy reminds you, by email or in your dashboard, before vaccines, deworming and other routine care are due. Reminders are a courtesy; keeping your pet's care up to date remains your responsibility.

9

Payments and Billing

9.1 Fees

All prices are in Nigerian Naira (₦). By subscribing, you authorise Skeepy and Paystack to take the fee for the billing period you choose.

9.2 Paying for the next period

Skeepy reminds you before your paid period ends. Cover continues only when the next period is paid.

9.3 If a plan lapses

Important: if the next period is not paid by the end of the current one, the plan becomes inactive. While it is inactive the pet has no cover and Skeepy pays no Clinic. If you restart the plan later, Section 5.2 applies.

9.4 Refunds

Fees are generally not refundable. Where a refund is due, for example after a duplicate charge or a system error, email info@skeepy.co within seven (7) days of the charge. Approved refunds are made within ten (10) business days to the original payment method.

9.5 Price changes

Skeepy will give at least thirty (30) days' written notice of any change to fees. A change takes effect from the next billing period after the notice. If you do not accept it, you may cancel before it takes effect.

10

Plan Changes

10.1 Upgrades

You may move to a higher plan at any time. Waiting periods you have already served for benefits both plans share carry over; benefits that are new to you start their waiting periods from the date of the upgrade. The difference in fee is charged for the rest of the current billing period.

10.2 Downgrades

You may move to a lower plan from the start of your next billing period. Benefits the lower plan does not include end then, and some waiting periods may start again where the plans differ.

10.3 Cancelling

You may cancel at any time from your dashboard or by contacting Skeepy. Cancellation takes effect at the end of the period you have paid for, and the pet stays covered until then. No partial refunds are given for unused time. If you enrol the pet again later, Section 5.2 applies.

10.4 Cooling-off

A new Subscriber may cancel within forty-eight (48) hours of first enrolling for a full refund, provided no Skeepy service has been used for the pet in that time, including Skeepy Pay, a chat with a vet and alerts. This does not apply to renewals.

11

Clan Plans

11.1 Who can join

Two (2) or more pets in one household can be enrolled together under one Subscriber. There is no upper limit.

11.2 Discounts

Pets in the ClanDiscount on each pet
2 pets15%
3 pets20%
4 or more pets25%

11.3 Plans within a Clan

Any pet can be part of a Clan, on any plan. Each pet has its own plan, chosen by you, and the pets in one Clan may be on different plans. A pet under twelve (12) months joins on a plan open to its age, as it would on its own. Every pet in the Clan receives the Clan discount, which applies together with the quarterly or yearly discount.

11.4 Adding and removing pets

You may add pets at any time; the discount changes with the number of pets, and each new pet's waiting periods start from its own enrolment. If you remove pets, the discount changes from the next billing period, and ends if only one pet remains.

11.5 Each pet's own cover

Each pet in a Clan has its own HMO ID, limits and waiting periods. One pet's limits cannot be used for another.

12

National Pet Database (NPD)

12.1 Free registration

Registering a pet on the NPD is free for every pet parent in Nigeria, with or without a plan. Every pet on Skeepy is registered automatically, with or without a plan.

12.2 Optional extras

  • QR pet tag, ₦20,000: a tag with a QR code that opens the pet's NPD profile when scanned.
  • Microchip, ₦35,000: a one-time implant by a veterinarian, linked to the pet's NPD profile.

12.3 Public lookup and privacy

When you register, you choose whether people who find your pet may look it up. If you allow it, anyone with the pet's NPD ID or microchip number, or who scans its tag, can see the pet's details and photograph and your first name, initial, area and a way to contact you. If you do not allow it, the pet does not appear in public search, and a person who scans its tag is asked to contact Skeepy, which passes the message on. You can change this in your NPD dashboard.

12.4 Accuracy

You are responsible for the accuracy of what you register. Skeepy does not check NPD registrations that are not linked to a plan, and is not liable for loss caused by inaccurate records.

12.5 Keeping records

NPD records are kept to identify pets over their lives. You may ask Skeepy to delete your records, subject to the Nigeria Data Protection Act 2023 and any other law that requires them to be kept.

13

Partner Clinics

13.1 Verification and listing

Partner Clinics have a written agreement with Skeepy and are listed on the Platform as Recommended Clinics. Skeepy decides which Clinics it recommends. A Clinic does not need to be a Partner Clinic to be paid with Skeepy Pay.

13.2 Availability

Skeepy does not guarantee that any clinic, veterinarian or appointment will be available. Partner Clinics set their own hours and capacity.

13.3 Quality of care

Every Clinic, Partner Clinic or not, is an independent veterinary practice and is solely responsible for the care it gives. Skeepy does not direct clinical decisions and is not liable for any act, omission, negligence or malpractice of a Clinic or its staff.

14

Cheerleader Programme

14.1 Overview

The Skeepy Cheerleader Programme is a referral programme that allows approved participants ("Cheerleaders") to earn commissions by referring new Subscribers to Skeepy. Participation in the Cheerleader Programme is subject to Skeepy's approval and the terms set out in this section.

14.2 Eligibility & Registration

Any individual may apply to become a Cheerleader by registering through the Platform. Skeepy reviews all applications and reserves the right to approve or reject any applicant at its sole discretion. Approved Cheerleaders are provided with a unique referral code and access to the Cheerleader dashboard.

14.3 Commissions

Cheerleaders earn a commission for each new Subscriber who enrols in a Skeepy HMO plan using their unique referral code. Commission rates, structures, and eligibility criteria are as determined and communicated by Skeepy from time to time. Commissions are earned only on valid, paid subscriptions. No commission is earned on cancelled, refunded, or fraudulent enrolments.

14.4 Payouts

Accumulated commissions are paid out to Cheerleaders in accordance with the payout schedule published on the Platform. Cheerleaders must provide valid bank account details for payout processing. Skeepy reserves the right to withhold or deduct commissions where there is a reasonable suspicion of fraud, self-referral, or violation of these Terms.

14.5 Prohibited Conduct

Cheerleaders shall not engage in misleading, deceptive, or spammy promotional activities. Cheerleaders shall not make false claims about Skeepy's services, coverage, or benefits. Any representation made by a Cheerleader that contradicts these Terms or Skeepy's official communications shall be deemed unauthorised. Skeepy may terminate a Cheerleader's participation immediately and without notice for any violation of these provisions.

14.6 Programme Changes

Skeepy reserves the right to modify, suspend, or discontinue the Cheerleader Programme at any time. Changes to commission rates or programme terms will be communicated to active Cheerleaders with reasonable notice. Earned and unpaid commissions as at the date of any programme change shall be honoured.

15

User Accounts and Responsibilities

15.1 Your account

To subscribe or to register a pet on the NPD you need an account. Keep its details accurate and up to date.

15.2 Security

Keep your password private and tell Skeepy at once if you suspect anyone else has used your account. Skeepy is not liable for loss caused by your account details being shared or misused through your fault.

15.3 Your dashboard

Your dashboard shows your plan, each benefit and how much of it is left, waiting periods, payments to clinics, payment history and your pet's records, and is where you pay clinics and chat with a vet. It may change, or be briefly unavailable during maintenance.

15.4 What you must not do

You must not: (a) use the Platform unlawfully; (b) try to access any part of it without permission; (c) use Skeepy Pay for care not given, or give false information; (d) share your account or a pet's HMO ID, or use it for another animal; (e) interfere with the Platform; or (f) access it by automated means without Skeepy's written consent.

16

Intellectual Property

16.1 Skeepy Branding

The Skeepy name, logo, trademarks, service marks, trade dress, and all associated branding elements (collectively, the "Skeepy Marks") are the exclusive property of the Company. You may not use, reproduce, modify, distribute, or display any Skeepy Marks without the prior written consent of Skeepy, except as may be expressly permitted under the Cheerleader Programme for promotional purposes.

16.2 Platform Content

All content on the Platform, including but not limited to text, graphics, images, icons, software, code, and the overall design and arrangement thereof (collectively, "Content"), is the property of Skeepy or its licensors and is protected by Nigerian copyright law, the Copyright Act (Cap C28, Laws of the Federation of Nigeria), and applicable international intellectual property treaties. Unauthorised reproduction, distribution, or modification of any Content is strictly prohibited.

16.3 User-Generated Content

By submitting any information, content, or materials to the Platform (including pet photographs and profile information), you grant Skeepy a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, and display such content solely for the purpose of operating and promoting the Platform and its services.

17

Limitation of Liability

17.1 General Limitation

To the maximum extent permitted by the laws of the Federal Republic of Nigeria, Skeepy, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or damages arising from the death or injury of a pet, arising out of or in connection with your use of the Platform or our services, regardless of the cause of action or the theory of liability.

17.2 Maximum Liability

In no event shall Skeepy's total aggregate liability to any Subscriber for all claims arising out of or related to these Terms or the services provided hereunder exceed the total subscription fees paid by that Subscriber to Skeepy during the twelve (12) month period immediately preceding the event giving rise to the claim.

17.3 Veterinary Care

Skeepy is a health maintenance organisation and not a veterinary care provider. Skeepy does not provide veterinary advice, diagnosis, or treatment. All veterinary services are provided by independent Clinics and their licensed veterinary professionals. Skeepy shall not be liable for the quality, outcome, or consequences of any veterinary treatment provided to an enrolled pet, including adverse reactions, complications, or the death of a pet resulting from veterinary procedures.

17.4 Platform Availability

Skeepy does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. The Platform is provided on an "as-is" and "as-available" basis. Skeepy shall not be liable for any loss or damage arising from temporary or permanent unavailability of the Platform.

17.5 Force Majeure

Skeepy shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government action, labour disputes, power failures, internet disruptions, or failures of third-party service providers.

18

Indemnification

You agree to indemnify, defend, and hold harmless Skeepy, its directors, officers, employees, agents, partners, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  1. Your use of the Platform or any Skeepy services;
  2. Your breach of any provision of these Terms;
  3. Your violation of any applicable law, regulation, or third-party right;
  4. Any information or content you submit to the Platform that is inaccurate, misleading, or fraudulent;
  5. Any claim by a third party relating to your pet, including claims arising from your pet's behaviour, health condition, or interaction with other animals or persons;
  6. Any dispute between you and a Clinic about the quality of veterinary care given.

This indemnification obligation shall survive the termination of your account and these Terms.

19

Termination

19.1 Termination by Subscriber

You may terminate your account and cancel all active subscriptions at any time by contacting Skeepy or through your dashboard. Termination takes effect at the end of the current paid billing period. You will retain access to covered services until the end of that period.

19.2 Termination by Skeepy

Skeepy reserves the right to suspend or terminate your account, in whole or in part, immediately and without prior notice, if:

  1. You breach any material provision of these Terms;
  2. You provide false, inaccurate, or misleading information;
  3. You engage in fraudulent activity, including submitting or facilitating fraudulent claims;
  4. You use Skeepy Pay for care that was not given, or for another animal;
  5. You engage in abusive, threatening, or inappropriate behaviour towards Skeepy staff, Clinic staff, or other users;
  6. Continued provision of services to you would, in Skeepy's reasonable judgement, pose a legal, regulatory, or reputational risk to the Company.

19.3 Consequences of Termination

Upon termination: (a) all active subscriptions shall be cancelled; (b) coverage for all enrolled pets shall cease immediately (or at the end of the current billing period, if applicable); (c) all wait period progress shall be forfeited; (d) any outstanding Cheerleader commissions below the minimum payout threshold shall be forfeited; (e) your access to the subscriber dashboard shall be revoked. NPD registrations shall remain active unless the Subscriber specifically requests their removal.

19.4 Survival

Sections relating to Limitation of Liability, Indemnification, Intellectual Property, Dispute Resolution, and any other provisions which by their nature should survive termination, shall survive the termination of these Terms and your account.

20

Dispute Resolution

20.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

20.2 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiations. The aggrieved party shall send a written notice of the dispute to the other party, and both parties shall use reasonable efforts to resolve the dispute within thirty (30) days of such notice.

20.3 Mediation

If the dispute is not resolved through informal negotiation within thirty (30) days, either party may refer the matter to mediation under the Lagos Multi-Door Courthouse (LMDC) or any other reputable alternative dispute resolution centre in Lagos, Nigeria. The cost of mediation shall be shared equally between the parties unless the mediator determines otherwise.

20.4 Jurisdiction

If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria. Both parties irrevocably submit to the jurisdiction of the Lagos State courts for the purpose of any proceedings arising out of or in connection with these Terms.

20.5 Class Action Waiver

To the fullest extent permitted by law, you agree that any dispute arising out of or related to these Terms shall be resolved on an individual basis and not as part of any class, consolidated, or representative proceeding.

21

Changes to Terms

Skeepy reserves the right to modify, amend, or update these Terms at any time at its sole discretion. When material changes are made, Skeepy will:

  1. Update the "Last Updated" date at the top of these Terms;
  2. Provide notice to active Subscribers via email and/or through the Platform dashboard;
  3. Allow a reasonable period (not less than fourteen (14) days) before the revised Terms take effect.

Your continued use of the Platform or any Skeepy services after the effective date of any revised Terms shall constitute your acceptance of such revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform and cancel your subscription before the revised Terms take effect.

It is the Subscriber's responsibility to review these Terms periodically. Skeepy recommends checking this page regularly for any updates.

22

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, such provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any single provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

The failure of Skeepy to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorised representative of Skeepy.
